Listed/ Quoted Companies and Regulated Institutions

You will need:

• Certified copy of Incorporation and Certificate of Incorporation on Change of Name (if applicable)

• Certified copy of Memorandum & Articles of Association

• List of Directors

• Proof of listing (Exchange web-site, Bloomberg or Reuters, Audited Accounts)

• Proof of holding company/ subsidiary status (if company is a holding company/ subsidiary of a listed company)

• Proof of regulatory status

Non-Listed Companies

You will need:

• Certified copy of Incorporation and Certificate of Incorporation on Change of Name (if applicable) *

• Certified copy of the Certificate of Registration of Business Name (if you are trading under a name other than your company name)*

• Certified copy of Memorandum & Articles of Association*

• Copy of latest audited accounts*

• List of shareholders and their addresses for holdings of >10%

• List of Directors – names, residential and business addresses, dates of birth and occupations

• Verification of identity for Beneficial Owners/Controllers – with significant shareholdings of >20%

• Authority to carry out transactions with Investec, i.e. Resolution of Board or Corporate letter signed by authorised signatories

*If your company is incorporated in the Republic of Ireland, we will be able to obtain some of the above mentioned documentation from the Companies Registration Office on your behalf. If your company is not incorporated in the Republic of Ireland we will require receipt of the above mentioned documentation and may require additional documentation which we will discuss with you.
