{"id":4165,"date":"2014-06-30T00:40:09","date_gmt":"2014-06-30T00:40:09","guid":{"rendered":"https:\/\/capitalmind.eu\/?post_type=deals&#038;p=4165"},"modified":"2025-07-21T10:37:32","modified_gmt":"2025-07-21T08:37:32","slug":"4165","status":"publish","type":"deals","link":"https:\/\/www.investec.com\/advisory\/deals\/4165\/","title":{"rendered":"MBO of Ceva Sant\u00e9 Animale"},"content":{"rendered":"<h2>What we did<\/h2>\n<p>Investec advised Sofiprot\u00e9ol in its participation to the reshaping of Ceva Sant\u00e9 Animale capital structure through a new round of financing (the group\u2019s 4th LBO).<\/p>\n<p>We actively supported Sofiprot\u00e9ol alongside all the acquisition process: negotiating with Ceva Sant\u00e9 Animale, providing valuation guidance, execution support, mapping out negotiation arguments and negotiating legal documentation.<\/p>\n<p>We played a key role in explaining and negotiating the deal structure and related shareholders\u2019 agreement of this fairly complex LBO.<\/p>\n<h2>About the deal<\/h2>\n<p>Through this LBO, the management retains the position of majority shareholders and has selected long term financial partners (Temasek, CDH Investments, Euromezzanine, Sagard and Sofiprot\u00e9ol) eager to support the group\u2019s future growth.<\/p>\n<p>Sofiproteol was formed in 1983 at the initiative of the French federation of oilseed and protein crop producers. Originally a financial establishment for the French vegetable oil and protein industry, Prol\u00e9a, Sofiprot\u00e9ol\u2019s investments and acquisitions have made it a major agri-food group in France today (\u20ac7.2bn of sales and over 8.000 employees).<\/p>\n<p>Ceva Sant\u00e9 Animale was founded in 1999 and is the world\u2019s 8th-largest veterinary health company, focused on research, development, production and marketing of pharmaceutical products and vaccines for companion animals, livestock, swine and poultry. The group has posted for almost 15 years annual sales growth of more than 12%, reaching c.\u20ac700 million in 2013, while continuously improving its profitability.<\/p>\n<p>Through this operation, Ceva enters into a new phase of its development, based on the strengthening of its leading positions and the acceleration of its international expansion, which will position Ceva within the top 5 of
