{"id":59065,"date":"2026-07-30T12:55:00","date_gmt":"2026-07-30T10:55:00","guid":{"rendered":"https:\/\/editing.capitalmind.com\/?post_type=deals&#038;p=59065"},"modified":"2026-07-30T13:52:54","modified_gmt":"2026-07-30T11:52:54","slug":"sale-of-gelpell-to-1q-health","status":"publish","type":"deals","link":"https:\/\/www.investec.com\/advisory\/deals\/sale-of-gelpell-to-1q-health\/","title":{"rendered":"Sale of Gelpell AG to 1Q Health"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\"><strong>Investec advised the shareholder of\u00a0<em>Gelpell AG<\/em>\u00a0on the sale to 1Q Health, a portfolio company of NORD Holding<\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">About the deal<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Investec acted as the exclusive financial advisor to the shareholder of Gelpell AG in the transaction with 1Q Health, a portfolio company of NORD Holding.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For more than 20 years, the Swiss full-service manufacturer of premium dietary supplements based in G\u00e4hwil, Switzerland, supports supplement brands with high-quality capsule production and tailored full-service solutions, from product development to market-ready manufacturing \u2013 including softgel, hard, and vegetarian capsules, as well as its proprietary GELPELL\u00ae technology for enhanced bioavailability.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">1Q Health is a European contract development and manufacturing organization (CDMO) for healthcare products, including medicinal products, food supplements, and functional foods. As a digitally driven CDMO, the group offers solutions along the entire value chain \u2013 from product conception and manufacturing to logistics and legally compliant branding and marketing support \u2013 and pursues an active buy-and-build strategy to expand its European manufacturing network.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The strategic objective of the partnership is to strengthen 1Q Health&#8217;s European CDMO network with new and highly specialized dosage forms and manufacturing capabilities as well as bringing Switzerland into the group&#8217;s international footprint. Gelpell will continue to operate as an independent unit within the 1Q Health Group, preserving its established expertise, customer relationships, and Swiss manufacturing identity while benefiting from the group&#8217;s broader resources and network. The founder and entrepreneurial team Kristina and Tomas Edvinsson will closely support the further growth of 1Q Health as fellow shareholders, focusing on the Asian market.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Our role<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Investec team advised the owner of Gelpell throughout the entire M&amp;A process until the successful completion of the transaction, including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Preparation of business plan and marketing materials,<\/li>\n\n\n\n<li>Approach of interested parties and realization of a competitive sales process,<\/li>\n\n\n\n<li>Preparation and management of due diligence,<\/li>\n\n\n\n<li>Conducting price negotiations,<\/li>\n\n\n\n<li>Support in negotiations of the legal documentation,<\/li>\n\n\n\n<li>Coordination of all involved parties, incl. legal and tax advisors.<\/li>\n<\/ul>\n\n\n<section class=\"content--block quoteBlock \">\n    <div class=\"holder\">\n        <div class=\"stories slide-up d-flex\" data-scroll=\"\">\n            \n            <blockquote class=\"stories__desc\" style=\"flex: 0 0 100%;max-width: 100%;\">\n                <span class=\"stories__desc_quote\">\u201c\u201d<\/span>\n\n                                    <div class=\"justified\"><p>Investec&#8217;s M&#038;A team guided us through the entire selling process of Gelpell with high professionalism, dedication and efficiency.
