Investec has advised InVivo on the sale of Bioline AgroSciences through a primary MBO sponsored by Eurazeo.
About the deal
Founded in 2016 through the merger of Biotop and Bioline, Bioline AgroSciences has rapidly established itself as the world’s third-largest player in macrobials. The company specialises in producing and supplying biocontrol solutions to efficiently reduce the use of chemical pesticides in agriculture. It is recognised for its expertise in macrobials for various speciality crops. Bioline AgroSciences maintains a strong local presence worldwide with five business platforms (North America, France, the United Kingdom, Spain and Kenya) and sales in over 50 countries. With an annual revenue growth of +14% over the past six years, the Group generated more than €50 million in revenue in 2024.
Investec has been appointed by InVivo to manage a swift sale of the Group. Following this process, Eurazeo was retained for its ability to offer a compelling development plan for the company, its managers, and its employees. Under this new ownership, the Group aims to become a global leader in biocontrol.
What we did
Investec assisted InVivo and Bioline AgroSciences management team all along the disposal process, including:
- Structuring the deal,
- Preparing and anticipating carve-out issues,
- Overseeing the execution of vendor due diligence works,
- Engaging with financial investors and strategic buyers,
- Preparing the marketing documentation,
- Managing a lenders education process with financing institutions,
- Implementing a competitive and swift bidding process,
- Managing the due diligence process,
- Providing an active execution support in the negotiation process.
