Our role
Investec is proud to have acted as the exclusive buy side financial advisor to Indian pharmaceutical company Natco Pharma Limited on its proposed strategic investment of c. 35.8% in South Africa-headquartered Adcock Ingram Holdings Limited for c. $221 mn. Natco has entered into an agreement with the aim of proposing a Scheme of Arrangement to Adcock's minority shareholders, which, if approved, will result in the acquisition of all minority shares in Adcock and their subsequent delisting from the JSE.
The transaction demonstrates Investec's proficiency in executing complex and tailored cross-border M&A deals. Our multidisciplinary approach ensured a smooth process across different jurisdictions, bringing together expertise in M&A advisory, equity capital markets, foreign exchange advisory, and financing for the transaction.
The proposed investment will give Natco Pharma a strong entry into the South African market and serve as a gateway into the African continent. It will also allow them to access new revenue streams and expand their presence into one of the largest emerging markets through Adcock which has an attractive portfolio of well-recognized brands across prescription, OTC, Consumer and critical care. The transaction will facilitate marketing & distribution of Natco’s portfolio of products through Adcock in South Africa
